As outlined previously, NHSA bylaws do not allow virtual meetings, virtual voting or modification to the annual meeting date. The NH Attorney General has temporarily given non-profits the ability to do so but the Association needs these options moving forward.
Legal counsel has been advising the NHSA on bylaw amendments that allow the organization to operate virtually and give the board flexibility in the event of another emergency.
During the review process the attorneys recommended additional modifications for clarity, legal purposes and other specific reasons. Comments within the documents are from legal counsel and explain the purpose of the proposed updates.
Board Approves Proposal
The NHSA Board of Directors unanimously approved the proposed changes to the bylaws on June 30, 2020. The procedure for amendments is outlined further below.
A plan to hold an annual meeting is underway and will be announced as soon as a location and date are secured.
Member clubs need to review this submission of proposed changes that will be voted on by their delegates in the near future.

ARTICLE IX – AMENDMENTS
Amendments to these By-Laws may be submitted to the Association membership on a 2/3 majority vote of the Board of Directors. These amendments must be submitted to the Board of Directors ninety (90) days prior to the Annual Meeting or Special Meeting.
Proposed changes shall be submitted to the member clubs in writing at least sixty (60) days prior to the Annual Meeting or at least thirty (30) days before any Special Meeting of the member clubs at which a vote is to be taken.
A 2/3 majority vote of the delegates present at any Annual Meeting or Special Meeting shall be required to amend the By-Laws.
